These Terms of Service ("Terms") govern your use of the Pointy collaborative editor, the developer platform and sync service, and the related websites and applications (together, the "Service"), operated by Pointy AI, Co ("Pointy," "we," "us," or "our").
By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
Pointy provides a collaborative rich-text editor and a real-time sync service. End users create and edit documents ("Documents"); developers may integrate the Service into their own applications ("Customer Applications") using our APIs, plugins, and software development kits ("Developer Tools"). The Service includes web applications, APIs, and documentation.
You may not use the Service to:
Developers may register a developer account and use the Developer Tools to build Customer Applications. You are responsible for the Customer Applications you build, for keeping your API keys and signing keys secure, and for your end users' use of your Customer Applications. Your use of the Developer Tools is subject to these Terms, any additional developer documentation, and your selected plan (see Section 5).
You retain ownership of the content you create, including Documents, comments, and any text or media you upload ("Your Content"). You grant us a limited, worldwide, non-exclusive license to host, store, transmit, and display Your Content solely to provide, debug, and improve the Service. We do not use Your Content to train AI or machine learning models.
You are responsible for Your Content, for having the rights necessary to use it, and for backing up any content you consider important.
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms.
The Service, including its software, APIs, design, and documentation, is owned by us and our licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms. Your feedback and suggestions may be used by us without obligation.
These Terms apply until terminated. You may stop using the Service at any time and may delete your account through the Service. We may suspend or terminate your access if you breach these Terms, or if required by law. Upon termination, your right to use the Service ends; we may retain data as described in our Privacy Policy.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
We may update these Terms from time to time. If the changes are material, we will provide reasonable notice, such as by email or a notice in the Service. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms shall be resolved in the courts of the State of Delaware.
